PARTIES

This agreement is effective [Effective date] between [Provider legal name], of [Provider notice address and email], and [Client legal name], of [Client notice address and email].

PARENT AGREEMENT AND PRECEDENCE

This SOW is issued under [Signed parent agreement title, date and parties], which must be attached or supplied to both parties before signing. It is not a standalone services contract. The parent agreement controls except for these express departures: [Express agreed departures from parent agreement]. No other parent term is changed.

WORK AND DEPENDENCIES

Provider will deliver: [Deliverables, milestones and due dates]. Client dependencies: [Client inputs, access and dependencies]. The parties must agree in writing on schedule effects of unmet dependencies; fees do not change automatically.

ACCEPTANCE

Acceptance criteria and review deadline: [Acceptance criteria and review deadline]. Client will accept in writing or identify scoped deficiencies. Provider will correct those deficiencies on an agreed schedule. Silence is not acceptance unless the identified parent agreement expressly provides otherwise.

COMMERCIAL TERMS

All other payment, ownership, confidentiality, liability and termination terms remain those of the parent agreement. Work outside this SOW requires a written change approved by both parties identifying cost and schedule effects.

APPROVAL

Signers confirm authority under the parent agreement and approve this SOW. Notices and execution follow the parent agreement. Retain this SOW with the parent and its amendments.
