IMPORTANT NOTICES
Demand Signatures is not a law firm and does not provide legal advice. This template is general information and may not fit your situation. Consult an attorney about your document and applicable requirements.
Download only. For a privately held ordinary Delaware stock corporation with one voting common-stock class, an unclassified board and no conflicting charter/shareholder terms. Not an adoption consent. Check the charter and obtain advice on adoption authority before use; signing this draft alone does not adopt bylaws.
IDENTITY AND HIERARCHY
Draft prepared [Draft preparation date] for [Exact incorporated company name]. Principal office: [Principal office]. Registered agent and office: [Registered agent and Delaware registered office]. Records location: [Corporate records location]. These bylaws are subordinate to Delaware law and the certificate of incorporation. Conflicting charter provisions require revision before adoption.
STOCKHOLDER MEETINGS
The board sets the annual meeting date, place and business. The board or president may call a special meeting; only properly noticed business may be considered. Notice, record dates, proxies, voting lists and consent procedures must satisfy applicable Delaware requirements. Remote meetings require a separate lawful board authorization and procedures.
Unless law or the charter requires otherwise, a majority of voting shares present or represented by proxy is a quorum; directors are elected by plurality, and other matters require a majority of the shares present or represented and entitled to vote on the matter. Statutory class votes and special approval thresholds control.
DIRECTORS
The board manages the corporation and consists of [Number of directors] directors unless the charter fixes a different number. Directors serve until successors qualify or earlier departure. Election, removal and vacancies follow Delaware law and the charter. A majority of directors constitutes a quorum; a majority of those present at a quorate meeting approves action unless a greater vote is required.
Regular meetings follow a schedule circulated to all directors. The president or any two directors may call a special meeting with at least [Special board meeting notice in days] days' notice of time and participation details. For a one-director board that director may call it. Remote participation and action without a meeting must meet statutory conditions. No committee is created by these bylaws.
OFFICERS AND AUTHORITY
The board appoints a president, secretary and treasurer and may define additional offices by resolution. The president coordinates ordinary operations within board-approved authority; the secretary maintains minutes and records; the treasurer oversees accounting and financial reports. The board records appointments, delegated signing powers and removals. Holding an office does not by itself authorize borrowing, guarantees or issuing shares.
SHARES, FINANCES AND RECORDS
The secretary maintains a current stock ledger and records authorized issuances and transfers. Shares may be issued only under proper board action and applicable charter and legal requirements; this draft grants no shares. Transfer restrictions need separate valid documentation and required notices. Company money remains in company accounts under recorded banking authority. The board approves the fiscal year and material financial policies. Minutes and adopted governing documents are retained with company records; statutory inspection rights are preserved.
CONFLICTS, PROTECTIONS AND AMENDMENTS
Directors and officers disclose actual or potential conflicts promptly and follow applicable approval requirements; disclosure alone does not approve a transaction. These bylaws add no exculpation, indemnification or advancement right and remove none required by law. Specialized protection provisions require separate review.
Amendment and adoption authority is determined under the charter and Delaware law. Keep the authorized resolution or consent and the exact adopted text together. This preparation draft becomes operative only upon valid adoption; no execution certificate, stock issuance, state filing or tax election is made here.
