PARTIES

This agreement is effective [Effective date] between [Seller legal name], of [Seller notice address and email], and [Buyer legal name], of [Buyer notice address and email].

ORDER AND PAYMENT

Seller agrees to sell and Buyer agrees to buy: [Goods, quantity and specifications]. Price and charges: [Total agreed price and tax/shipping breakdown]. Payment: [Payment schedule and method]. Additional quantities or charges require a signed change. No security interest or consumer credit is created by this form.

DELIVERY AND RISK

Delivery obligations: [Delivery date, location and carrier responsibilities]. Seller bears risk until physical delivery at the stated destination; Buyer bears risk afterward, subject to rights concerning nonconforming goods. Title passes on delivery free of liens created by Seller. Seller will notify Buyer promptly of delays; revised dates require agreement.

INSPECTION AND NONCONFORMITY

Buyer has [Inspection days after delivery] days after delivery to inspect and provide written particulars of visible nonconformities. Latent defects and nonwaivable remedies are not extinguished by that period. Seller will arrange correction or replacement on a reasonable agreed timetable; if that fails, the parties will arrange return and refund for affected goods, without limiting remedies required by law.

WARRANTIES AND DEFAULT

Agreed express warranty: [Express warranty coverage, duration and remedy]. Seller warrants authority to sell and correspondence with the stated description. No statutory warranty is disclaimed by this form. A party may terminate for a material breach uncorrected 15 days after written notice; accrued rights survive. Payment for conforming delivered goods remains due; amounts for undelivered goods are refunded after lawful deductions agreed by both parties.

NOTICES, CHANGES AND GOVERNING LAW

Notices must be sent in writing to the addresses above and are effective upon confirmed receipt. Each party will keep its notice details current. Amendments require a writing signed by both parties. Neither party may assign its obligations without the other's written consent, except as mandatory law permits.

This document and its expressly incorporated schedules are the entire agreement on its subject. The laws of [Governing state] govern, subject to mandatory applicable law. Invalid provisions do not invalidate the remaining terms to the extent they can operate independently. A failure to enforce a term is not a waiver. Each signer confirms authority to bind the named party. Counterparts together form one agreement. Parties may agree to electronic signatures where permitted; no party is required by this clause to accept an electronic signature.
